The short answer

A commission clawback policy should say when commission is earned, what happens if a customer cancels or does not pay, how a reversal is calculated, and how the employee can challenge it. Those are policy-design questions, not universal legal permissions. New York treats earned commissions as wages and limits deductions; UK Acas says wage deductions require a legal basis such as specific contractual authorization. Do not deduct first and ask counsel later. This guide is general information, not legal advice.

1. Start with the scope of the agreement

The U.S. Department of Labor describes a sales commission as money paid upon completion of a task, usually a sale; it also says the federal Fair Labor Standards Act does not itself require commissions. That does not mean a company can ignore a promise it made in a contract or ignore state wage law. The federal overview answers a narrow question about the FLSA, while a clawback policy turns on the applicable employment agreement, wage rules and employee classification. 1

A useful policy should identify who is covered, the effective date, the commissionable transaction and the person who approves exceptions. These are recommended design elements, not a claim that every jurisdiction mandates the same list. Do not copy a U.S. policy into a UK contract, or vice versa, without checking local law. New York, for example, requires a commission salesperson's pay agreement to be written and signed by both sides and to explain calculation of compensation. Acas says commission entitlement should be included in the written statement of employment particulars in the UK. 23

2. Define when a commission becomes earned

This is the hinge of any clawback discussion. A plan might use contract signature, customer payment, implementation completion or another event as its earning trigger. The correct choice is a business and legal decision for the employer and its counsel, not a universal answer supplied by this article. In New York, the labor department says the written agreement specifies when commission is considered earned. It also says earned commissions are wages and deductions from them are limited to those permitted by state law. 2

Write the earning event in ordinary language and test it against edge cases. What if a customer signs but never pays? What if an invoice is partially collected? What if a subscription is canceled after implementation? What if two sellers share the deal? A clear policy can specify the calculation input, the transaction identifier, how split credit is assigned and which system is the record of truth. Counsel should review the wording before it affects payroll. 2

3. Describe reversal events without promising unlimited deductions

A business may want to reverse commission after a refund, cancellation, non-payment or duplicate credit. Those are plausible policy choices, not automatic legal entitlements. The document should distinguish an amount that never became earned under a valid plan from an amount already earned and paid. New York's guidance draws a clear line around earned commissions as wages. UK Acas likewise explains that wage deductions require a permitted basis, including specific contractual authorization or prior written agreement under the circumstances it lists. 24

For each proposed reversal event, define the observation window, evidence required, calculation method, approval owner and appeal route. If the reason is customer non-payment, decide what happens after a later recovery. If the reason is cancellation, decide whether a partial refund creates a proportional adjustment. These are design prompts for legal and payroll review. This page does not supply a clause that authorizes deductions from a paycheck. 24

4. Handle draws and final pay separately

Do not use the word clawback to collapse every type of payment into one bucket. New York's commission FAQ says a draw can be reconciled against future commissions and warns that this type of draw cannot simply be recouped from other wages. It also says earned commissions must be paid even when the employment relationship has ended. Those are New York-specific statements; the terms of the written plan and local law matter elsewhere. 2

For a departing employee, document which opportunities were credited before departure, when any remaining commission would become earned, and how the final calculation will be communicated. Acas advises that a UK contract say what happens to commission when employment ends. A policy should not bury final-pay treatment in a general statement that all future payments are forfeited. Have counsel evaluate the particular jurisdiction and contract before adopting any forfeiture or repayment term. 3

5. Make the calculation auditable

A defensible operational process gives the seller a line-item explanation rather than an unexplained negative amount. Suggested fields include deal ID, original commission, earning event, reversal trigger, evidence, calculation date, amount adjusted, approver and dispute status. In the UK, Acas says deductions must be clearly shown on a payslip. In New York, the labor department requires employers to retain the commission salesperson agreement through employment and at least three years after termination. Those rules are not identical, but both make documentation a serious part of policy administration. 42

Reconcile the commission system to payroll before a deduction is run. Have sales operations identify the transaction and finance verify the customer event. Have payroll identify whether the amount is unearned, already earned, a draw or another payment type. Then send the case to legal review if there is any doubt. This approval chain is recommended governance, not a representation that it satisfies every wage law. 24

6. Check minimum pay and plan changes

In the UK, Acas says total pay including commission must meet the minimum wage each time an employee is paid. It also says commission is usually contractual and that changing the scheme may require changing the employment contract. A clawback clause added after a deal is closed can therefore raise different issues from a prospective rule agreed before the work. Do not assume a signed handbook update automatically fixes a past transaction. 3

For U.S. employees, the federal Department of Labor's statement that the FLSA does not require commissions should not be misread as a general permission to recover any paid commission. State wage law and the actual agreement remain central. Before rollout, have employment counsel check minimum wage, overtime, final pay and deduction rules for each jurisdiction where covered employees work. 12

Can an employer take back an earned commission?
There is no universal yes-or-no answer. New York says earned commissions are wages and deductions are limited by its Labor Law. UK Acas sets conditions for wage deductions, including specific contract authorization in the circumstances it describes. Seek jurisdiction-specific advice before any deduction. 24
When is a commission earned?
